Reach150 Terms and Conditions

The following PSTs shall apply to any Product identified in an Order Form as "Reach150".
- Definitions.
a. "Basic Account Services" enable Customer to request and publish Recommendations from its customers, prompt Customer's audience to refer business to Customer, and promote Customer on social networks, along with other features and functionality based on the subscription level Customer purchases
b. "ProDirect Services" enable Supplier to promote and retarget Recommendations and other content via display advertisements on popular websites.
c. "Profile" means Customer's and its agents' publicly viewable web page as a Reach150 Services Subscription Member that includes Customer's/its agents' photo, bio and contact information provided by Customer (or by Supplier if asked to by Customer). It also includes but is not limited to Customer's published Recommendations, and links to Customer's agents, if any.
d. "Reach150 Services" means the Basic Account Services and, if purchased by Customer, the ProDirect Services. Supplier may at its sole discretion modify the features of the Reach150 Services from time to time without prior notice.
e. "Recommendation" means the recommendation and related content a Reviewer provides to Customer/its agents, via the Reach150 Services recommendations entry form. All content submitted in the recommendations entry form constitutes the Recommendation and currently includes the recommendation text, and the Reviewer's name, title or role, photo, time and date of submission of the Recommendation, and other content and information provided by Reviewer.
f. "Reviewer" means an individual who provides a Recommendation for Customer/its agents, via the Reach150 Services recommendations entry form.
- Use Restrictions. The Reach150 Services were designed to enable Customer to have control of who publishes Recommendations about Customer and what Customer publishes on Customer's Profile. Notwithstanding the foregoing, Customer understands, acknowledges and agrees to the following:
a. Supplier does not guarantee the accuracy of the Recommendations and other content presented on the Reach150 Services. Customer is responsible for Customer's Profile and any information that is shared on the Reach150 Services.
b. If Customer creates an account on behalf of its agents, Customer understands that such agents' Profiles may become immediately available as it is assumed that Customer has the authority to do so. If a Customer agent desires that their account be removed, then such agent needs to ask Customer to do so.
c. If Customer is an employer, then (i) Customer is responsible for the content of its agents' Profiles, including adding and removing its agents from Customer's Reach150 Services subscription, and (ii) when Customer adds an agent to Customer's Reach150 Services subscription, Customer is representing and warranting that Customer has the authority to create a public Profile on the agent's behalf.
d. Customer understands that Customer's Profile is publicly visible to anyone.
e. Customer understands that Customer's Profile is indexed by search engines and can be found when someone searches for Customer by name.
f. Customer understands that Supplier will share Customer's Profile information with third parties for promotional purposes.
g. Supplier does not guarantee the authenticity of Reviewers who contact Customer through the Reach150 Services. Customer understands that any interaction that Customer takes with Reviewers and other Reach150 Services Subscription Members is done so at Customer's own risk.
h. Customer understands that any information that Customer provides to Reviewers and other Reach150 Services Subscription Members is done at Customer's own risk.
i. Customer will not post false Recommendations about itself.
j. Customer will not provide incentives for others to post Recommendations about Customer.
k. Customer will not publish Recommendations that Customer knows to be untrue.
- Compliance. If Customer collects information from Reviewers, Customer will: obtain their consent, make it clear Customer (and not Supplier) is the one collecting their information, and Customer will post a privacy policy explaining what information Customer collects and how Customer will use it. Customer will not post anyone's identification documents or sensitive financial information on the Reach150 Services. Customer will not tag Reviewers or send email invitations for Recommendations to non-Reviewers or any third parties who have previously opted out from receiving email communications from Customer.
- Restrictions. Supplier specifically prohibits any misuse of Reach150, and Customer hereby agrees on its behalf and on behalf of its Authorized Users not to use the Reach150 product for any of the following: (i) posting any information which is incomplete, false, inaccurate or not owned by Customer; (ii) changing or deleting any ownership notices from materials downloaded or printed from Reach150; (iii) engaging in conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any city, state, national or international law or regulation that would fail to comply with accepted Internet protocol; (iv) impersonating a third party or otherwise misrepresenting an affiliation with a third party or age; (v) soliciting personal information from anyone under 18 or soliciting passwords or personally identifying information for commercial or unlawful purposes; (vi) communicating, transmitting, or posting material that is copyrighted or otherwise owned by a third party unless Customer is the copyright owner or has the permission of the owner to post it; (vii) communicating, transmitting, or posting material that reveals trade secrets, unless Customer owns them or has the permission of the owner; (viii) communicating, transmitting, or transferring (by any means) information or software derived from Reach150 to countries outside of the United States or Canada or certain nations or persons in violation of applicable export control laws; (ix) using Reach150 in any unlawful manner or in any manner that could damage, disable, overburden or impair Reach150; (x) attempting to interfere in any way with Reach150 or Supplier's or its service providers' networks or network security, or attempting to use Reach150 to gain unauthorized access to any other computer system; (xi) Attempting to circumvent any content filtering techniques; (xii) attempting to access any service or area of Reach150 that Customer is not authorized to access; (xiii) harvesting or collecting email addresses or other contact information of other users of Reach150 by electronic or other means for the purpose of sending unsolicited emails or other unsolicited communications; (xiv) using any robot, spider, crawler, scraper, interface, scripts, or other automated means to collect information or otherwise interact with Reach150; (xv) engaging in any harassing, intimidating, predatory or stalking conduct; and (xvi) using any metatags or any other "hidden text" utilizing "Reach150" or any other name, trademark or product or service name of Supplier or its service providers without Supplier's prior written permission. In the event that Customer or any Authorized User is in breach of clause (viii) of this paragraph, whether such a breach arises from current or future restrictions, prohibitions, or embargos, Supplier shall have the right to suspend or terminate Customer's access to or use of Reach150.
