The following PSTs shall apply to any Product identified in an Order Form as "Commissions" ("Commissions" or the "Commissions Product"):
- Sensitive Personal Information.
a. Sensitive Personal Information" means credit or debit card numbers; financial account numbers or wire instructions; government-issued identification numbers (such as Social Security numbers, passport numbers), biometric information, personal health information (or other information protected under any applicable health data protection laws), personal information of children protected under any child data protection laws, and any other information or combinations of information that falls within the definition of "special categories of data" under GDPR or any other applicable law relating to privacy and data protection.
b. Supplier is not obliged to pre-screen, monitor or filter any Customer Data or its processing by Customer in order to determine if it is Sensitive Personal Information or unlawful in nature. However, if the Supplier has reason to believe that Customer is processing unlawful Customer Data or Sensitive Personal Information, or the action of its processing is unlawful by in nature, Supplier has the right to:
i. notify the Customer of such unlawful Customer Data or Sensitive Personal Information;
ii. deny its publication in the Commissions Product;
iii. demand that Customer bring the unlawful Customer Data into compliance with the Agreement and applicable law;
iv. temporarily or permanently remove the unlawful Customer Data, or Sensitive Personal Information from the Commissions Product, restrict access to it or delete it.
c. If Supplier is presented evidence reasonably demonstrating that the Customer Data is not unlawful or Sensitive Personal Information, Supplier may, at its sole discretion, restore such Customer Data or Sensitive Personal Information, which was removed from the Commissions Product or access to which was restricted.
d. In addition, in the event the Supplier believes in its sole discretion Customer Data violates applicable laws, rules or regulations or these PSTs, or is Sensitive Information, the Supplier may (but has no obligation), to remove such Client Data at any time with or without notice.
e. The Commissions Product is not designed to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA) or the Federal Information Security Management Act (FISMA), so Customer and any End User may not use the Commissions Product where its communications would be subject to such laws. Customer (including any of its End Users) may not use the Commissions Product in a way that would violate the Gramm-Leach-Bliley Act (GLBA) or any other applicable Law governing consumer privacy and data security. Nothing contained in this section limits the usage restrictions specific to Sensitive Personal Information under the GTCs.
f. CUSTOMER ACKNOWLEDGES THAT THE COMMISSIONS PRODUCT HAS NOT BEEN DESIGNED TO PROCESS OR MANAGE SENSITIVE PERSONAL INFORMATION AND ACCORDINGLY CUSTOMER AGREES NOT TO USE THE COMMISSIONS PRODUCT TO COLLECT, MANAGE OR PROCESS SENSITIVE INFORMATION. SUPPLIER WILL NOT HAVE AND SUPPLIER SPECIFICALLY DISCLAIMS ANY LIABILITY THAT MAY RESULT FROM CUSTOMER'S USE OF THE COMMISSIONS PRODICT TO COLLECT, PROCESS OR MANAGE SENSITIVE PERSONAL INFORMATION.
- Disclaimer. Supplier does not provide legal, tax or any accounting advice through Customer's use of the Commissions Product. Customer is solely responsible for the interpretation of Customer Data or any reports generated by the Commissions Product. Customer is solely responsible for complying with laws and regulations applicable to Customer's real estate broker or other business activity and use of the Commissions Product. Customer acknowledges and agrees that the Commissions Product is not intended to comply with specific industry regulations and that the accuracy of any output of the Commissions Product is dependent on the accuracy of the data and information submitted by Customer.
- Integrations.
a. The applicable Order Form may indicate that Customer has purchased integration services in order for the Commissions Product to connect to a third party service (an "Integration Partner"). Such Integration Partner may require the creation and use of an account and agreement to additional terms and conditions. Customer is solely responsible for complying with and will comply with any terms and conditions applicable to Customer's and its End Users' access and use of such software provided by the Integration Partner, including any access and use through the Commissions Product.
b. The Commissions Product may access Customer's content, information or data and transmit such content, information or data out of the Commissions Product to an Integration Partner. Supplier is not responsible for the privacy, security or integrity of any Integration Partners or the practices and policies of any Integration Partners.
- Transaction Limits. The applicable Order Form may specify that Customer is limited to a number of transactions per a specified time period or that there are fees for exceeding a number of transactions over a specified time period. For purposes of these PSTs, "transaction" shall mean a real estate transaction that is recorded by the Customer in the Commissions Product.
- No Storage. Customer acknowledges and agrees that the Commissions Product is not designed to serve as master storage of Customer Data, and Customer is responsible for ensuring that master copies of the Customer Data are stored in a separate system. Customer retains complete control over the installation, configuration, and usage of the Commissions Product by Customer, and Supplier will not be responsible or liable for any deletion, corruption, damage, destruction, or unintended exposure of Customer Data due to acts or omissions of Customer.
